1. Preliminary provisions
1.1. These terms and conditions ("T&C") govern the access to and use of the mobile application called "Hiwo Events" ("Hiwo" or "App"), produced and developed by Audio & Light Systems S.r.l., with registered office in Milan (MI), Via Pasquale Paoli 8, 20143, registered with the Companies' Register of Milan-Monza-Brianza, Fiscal Code and VAT number 04957940150 ("ALS"), downloadable from major app stores.
1.2. Hiwo is a digital platform that aims to connect professionals in the events, entertainment and audiovisual industry ("Professionals") to facilitate the creation of work teams, the search for professional opportunities and the rental of technical equipment.
1.3. In particular, Hiwo offers Professionals the following services ("Services"):
1.3.1. Creation of Productions: allows registered Professionals to create descriptive listings for projects or events for which they seek the collaboration of other Professionals, specifying details such as required roles, dates, locations, budget and requirements ("Production");
1.3.2. Application to Productions: allows registered Professionals to apply to participate in Productions created by other Professionals ("Application").
1.3.3. Equipment and Location Rental: allows registered Professionals to offer their technical equipment for rent or to search for and request the rental of equipment from other Professionals ("Rental").
1.4. By accessing Hiwo, the Professional represents and warrants: (i) to be at least 16 (sixteen) years old; (ii) to use Hiwo exclusively for lawful purposes and in compliance with these T&C and applicable law. ALS reserves the right to verify the age of Professionals and to suspend or terminate the accounts of those who do not meet this age requirement.
1.5. The use of certain features of the App may require acceptance of additional specific terms or conditions, which will be submitted to Professionals at the appropriate time and must be accepted in order to use those features.
1.6. Hiwo integrates social and interaction features between Professionals. ALS is not responsible for the content generated by Professionals but reserves the right to remove, at its discretion, any content that is unlawful, offensive or not compliant with the T&C, as further specified in Article 6 below.
1.7. The contract between ALS and the Professionals is constituted by these T&C and the privacy policy ("Privacy Policy") drafted pursuant to Article 13 of EU Regulation 2016/679 ("GDPR") concerning the processing of personal data – as defined by Article 4 of the GDPR – ("Personal Data") accessible for consultation on Hiwo.
1.8. The Hiwo App and the services offered by it are intended to be used exclusively by "professionals", i.e. natural or legal persons acting within the scope of their entrepreneurial, commercial, artisanal, or professional activities, as defined by Article 3, paragraph 1, letter c) of Legislative Decree no. 206/2005 (so-called "Consumer Code"). Therefore, users of the App represent and warrant that they use Hiwo solely for professional purposes related to their work activity. Professionals acknowledge and accept that, not qualifying as “consumers” under Article 3, paragraph 1, letter (a) of the Consumer Code, they will not benefit from the protections and rights specifically granted to consumers under that legislation.
1.9. ALS reserves the right to unilaterally amend these T&C at any time, in order to adapt them to supervening regulatory, technical or commercial needs. Any amendment will be communicated to Professionals via push notification on the app or via email, to the address provided during registration, with at least 15 (fifteen) days' notice. Continued use of Hiwo after the entry into force of the amendments constitutes tacit acceptance of the new T&C. In case of non-acceptance, the Professional shall have the right to withdraw from the contract without any penalty.
1.10. In the event of any inconsistency or conflict between the provisions of these T&C and any information contained on third-party websites or in advertising or promotional materials relating to the App, the provisions of these T&C shall always prevail.

2. Registration
2.1. In order to access and use the features of the App, Professionals must register by creating a personal account ("Account"). Registration is free of charge and can be completed directly through the App.
2.2. Hiwo provides two distinct registration procedures, depending on the Service the Professional is interested in:
2.2.1. “Producer" registration: intended for Professionals seeking to recruit other professionals, rent a venue, or rent or search for equipment ("Producers").
2.2.2. "Technician" registration: intended for Professionals seeking job opportunities in the event, entertainment, and audiovisual industries ("Technicians").
2.3. During the registration process, the Producer must mandatorily provide the company name and VAT number. Furthermore, the Producer may voluntarily provide the following additional information:
(a) Profile picture;
(b) Place of business;
(c) Business sector;
(d) Valuable information;
(e) Previous work experience;
(f) Free-text company description.
2.4. During the registration process, Technicians must provide their date of birth. Additionally, Technicians may voluntarily provide the following additional information:
(g) Profile picture;
(h) Geographical areas of availability;
(i) Skills and competencies;
(j) Professional role;
(k) Educational qualifications;
(l) Previous professional experiences;
(m) Languages spoken;
(n) Free-text personal description.
2.5. In both cases referred to in Articles 2.3 and 2.4 above, Professionals must provide a valid email address and choose a password for the Account.
2.6. Upon completion of registration, the Professional will receive a verification email at the address provided.
2.7. Professionals are responsible for maintaining the confidentiality of their Account access credentials and for all activities that occur through their Account. Professionals agree to immediately notify ALS of any unauthorized use of their Account or any other breach of security.
2.8. Each Professional may create and maintain only one Account. The creation of multiple or fictitious accounts is prohibited and may result in the suspension or closure of all associated accounts and the taking of appropriate legal action by ALS.
2.9. By accessing their Account settings, Professionals can modify and/or supplement the information provided during registration.
2.10. ALS reserves the right to refuse, suspend or close an Account at its discretion, particularly in the event that there are reasonable grounds to believe that a Professional has violated these T&C, provided false, incomplete or misleading information during registration, used the App for unlawful purposes or in such a way as to cause damage to ALS, other Professionals or third parties.
2.11. Professionals may at any time request the cancellation of their Account through the appropriate "Delete Account" function available by accessing the App settings. The deletion of the Account will result in the deletion of all data and information associated with it, without prejudice to any retention obligations provided for by law or necessary for the protection of the rights of ALS or third parties.

3. Creation of a Production
3.1. Hiwo allows Manufacturers to create Productions according to the limits and functionalities provided by their subscription plan, as better described in the following art. 7 "Subscription Plans".
3.2. To create a Production, Manufacturers must provide the information requested by the App, such as:
3.2.1. Title, description of the project, any Production Manager; any assigned working group; date, time and place of Production;
3.2.2. Tasks required, compensation per day, number of people required;
3.2.3. Additional information, such as meeting notes, meeting time, and dress code.
3.3. Producers are solely responsible for the truthfulness, accuracy and completeness of the information provided during the creation of a Production. ALS does not carry out any prior checks on the information entered and disclaims any liability for any damages or disputes arising from incorrect, incomplete or misleading information.
3.4. ALS reserves the right to remove or suspend Productions that violate these T&C or are deemed inappropriate, at its sole discretion.
3.5. Producers may modify the information relating to the Productions created by accessing the dedicated section in the App.
3.6. The Productions created by Producers will remain visible in the App until their expiry date, unless they are removed by the Producer or suspended by ALS for violation of the T&C.
3.7. ALS acts exclusively as a digital intermediary, connecting Producers with Technicians through Hiwo. ALS is in no way responsible for the actual realization, quality, safety or outcome of the Productions created by Producers.
3.8. Producers are solely responsible for the management and organization of their own Productions, including agreements entered into with Technicians identified through the App. ALS is not a party to such agreements and, therefore, disclaims any liability in this regard.

4. Application to a Production
4.1. Hiwo allows Technicians to search for job opportunities and apply to Productions created by Producers. Although not mandatory, the inclusion in their Account (during registration or subsequently) of information such as skills, experience, CV, languages spoken, etc. is recommended in order to increase the visibility and attractiveness of their professional profile to Producers.
4.2. Technicians will be able to view Productions compatible with the information provided in their Account on their Hiwo Home page. Hiwo also allows filtering of available Productions based on date, minimum compensation and required skills.
4.3. To submit their application, the Technician must select a Production from those available in the "Home" section, provide the information requested by the Producer, and confirm the submission.
4.4. By accessing their Account settings, the Technician can choose whether or not to receive in-app notifications regarding the publication of new Productions compatible with their profile.
4.5. accessing the "Calendar" section, the Technician can select the days when they are not available for any Productions ("Unavailable Days"). The Technician will not receive notifications for Productions that take place during Unavailable Days.
4.6. ALS does not carry out any prior checks on the information provided by Technicians and disclaims any liability for any damages or disputes arising from incorrect, incomplete or misleading information.
4.7. Technicians are responsible for managing communications and interactions with Producers interested in their applications.
4.8. Acceptance of an application and actual collaboration between Technician and Producer are at the sole discretion of the Producer. ALS has no control over or responsibility for the selection decisions of Technicians by Producers.
4.9. The specific terms and conditions of the collaboration (e.g., compensation, duration, duties, etc.) must be agreed directly between the Technician and the Producer in compliance with applicable law.
4.10. Any disputes relating to the quality of the work performed or compliance with the agreements must be resolved directly between the parties involved. ALS is in no way liable for any damages, injuries or problems that may occur during the performance of the Technicians' work activities within the scope of the Productions.
4.11. ALS reserves the right to suspend or terminate the accounts of Technicians who violate these T&C or who are involved in illegal, fraudulent or harmful activities that damage the image and reputation of ALS.

5. Equipment and Location rental
5.1. Hiwo offers Producers the opportunity to offer for rent and/or request to rent technical equipment and/or locations for Productions, according to the limits and functionalities provided by their subscription plan, as better described in Article 7 "Subscription Plans" below.
5.2. To request to rent equipment or a location, Producers who have subscribed to a subscription plan must access the specific section of the App and provide the following information:
(a) Type of equipment or location required;
(b) Start and end days;
(c) Start and end time;
(d) Location of use;
(e) (For equipment) Need for transportation;
(f) Any specific requests or needs.
5.3. The terms and conditions of the Rental agreements, including costs, payment methods, security deposits, insurance, liability for damages, return obligations and any other specific conditions are established directly between the Producer requesting the equipment or location ("Renter") and the Producer providing the equipment or location ("Lessor"). ALS is not a party to such agreements and, therefore, disclaims any liability with respect to:
(a) Content, completeness, accuracy or lawfulness of the Rental;
(b) Condition, functionality, availability, delivery or suitability of the equipment or locations rented;
(c) Payments, deposits or other transactions between Renter and Lessor;
(d) Any damages, disputes or defaults arising from the Rental.
5.4. Renters are responsible for verifying the condition, functionality and suitability of the rented equipment and/or locations before accepting the rental. ALS does not carry out any checks on the equipment or locations and disclaims any liability for any damage, malfunction or unsuitability thereof. Any dispute must be resolved directly between the Renter and the Lessor.
5.5. ALS reserves the right to suspend or remove accounts of Renters or Lessors who violate these T&C or who are involved in illegal or fraudulent activities.

6. Social and interaction features
6.1. Professionals have the ability to share posts within a dedicated board in their Account ("Posts"). To create a new Post, Professionals must click on the "Share a new post" button and provide the following information:
(a) Title of the Post;
(b) Content description;
(c) Link for further information;
(d) Photo or video.
6.2. Posts shared by Professionals will not be publicly accessible to all users of the Hiwo App, but will be visible only to:
(a) In the case of a Post shared by a Technician: only to Producers for whose Productions the Technician has submitted an application;
(b) In the case of a Post shared by a Producer: only to Technicians who (i) select a Production published by the Producer who shared the Post and view their profile; (ii) have applied for a Production published by a Producer who shared the Post; (iii) are part of a Group, as defined in Article 10.
6.3. Professionals undertake to share Posts with truthful, accurate and relevant content to their professional activity. It is prohibited to share Posts with content that is unlawful, defamatory, offensive or harmful to the rights of third parties.
6.4. ALS does not carry out any prior checks on the Posts shared by Professionals. However, Professionals have the right to report to ALS Customer Service Posts shared by other Professionals that they believe are in violation of their own and/or third-party rights and/or these T&C. To make a report, Professionals must contact Customer Service through the assistance channels provided by the Hiwo App, specifying:
(a) The Post subject of the report, providing a description of the same;
(b) The reasons why it is believed that the Post violates their own and/or third-party rights and/or these T&C;
(c) Any evidence or documentation to support the report (e.g., screenshots).
6.5. ALS Customer Service will take charge of the reports received and carry out the necessary checks to ascertain the actual violation of rights and/or T&C. ALS reserves the right to request further information or clarification from the Professionals involved in the report.
6.6. In the event that a violation is ascertained, ALS reserves the right to remove the reported Post and to take any measures deemed appropriate against the Professional responsible for the violation, including suspension or cancellation of the Account.
6.7. Professionals are solely responsible for the Posts shared and the consequences arising from their publication. ALS disclaims any liability for any damage caused by the Posts of Professionals.

7. Subscription plans
7.1. Hiwo offers Producers different subscription plans: Free, Bronze, Silver and Gold ("Plan"):
7.1.1. The Free Plan is free of charge and allows Producers to create one Production per month and view Rental requests;
7.1.2. The Bronze Plan includes all the features of the Free Plan, plus the ability to create unlimited Productions;
7.1.3. The Silver Plan includes all the features of the Bronze Plan, plus the ability to offer equipment and/or locations for Rent, place job advertisements and advertising banners;
7.1.4. The Gold Plan includes all the features of the Silver Plan, plus the ability to create up to 5 (five) work groups.
7.2. The Bronze, Silver and Gold Plans offer a 7 (seven) day free trial, during which Producers can test the features of the chosen Plan at no cost. At the end of the free trial period, the Bronze, Silver and Gold Plans require the payment of a monthly or annual fee, at the Producer's choice, the amount and payment methods of which are indicated on the App.
7.3. The Plan is automatically renewed upon expiry of the validity period, unless terminated by the Producer by giving notice before the expiry date. In the event of non-payment of the renewal fee, ALS may, at its sole discretion, suspend or terminate the Producer's Account.
7.4. Payment for the Plan chosen by the Producer is made through the payment methods accepted by ALS and displayed on the screen at the time of checkout. Producers authorize ALS to automatically charge the cost of the Plan to the payment method provided at the time of subscription.
7.5. By accessing their Account settings in the App, Producers can at any time:
7.5.1. Deactivate the automatic renewal of the Plan, thus terminating the Plan at the end of the current validity period;
7.5.2. Modify their Plan.
7.6. In the event of deletion of the Account by the Producer or withdrawal from the contract, ALS will not refund any monthly Plan fees paid in advance.
7.7. ALS reserves the right to modify the prices, features and conditions of the subscription plans, giving notice to Producers with at least 30 (thirty) days' notice.

8. Job Listings
8.1. Producers subscribed to the Silver Plan or higher have the ability to post continuous job listings within the App ("Job Listings").
8.2. Job Listings must contain the following mandatory information:
(a) Title of the listing;
(b) Description of the job position offered;
(c) Required qualifications;
(d) Place of work (Region);
(e) Type of contract offered;
(f) Gross annual salary.
8.3. Producers undertake to publish truthful and accurate Job Listings that comply with applicable labor and employment laws. It is prohibited to publish Job Listings that are discriminatory, unlawful or in violation of workers' rights.
8.4. ALS does not carry out any prior checks on the Job Listings published by Producers and disclaims any liability with regard to their content and the veracity of the information contained therein.
8.5. Technicians interested in the Job Listings can apply directly through the App, providing the information and documents requested by the Producer.
8.6. The selection of candidates and the establishment of the employment relationship are the sole responsibility of the Producer. ALS is in no way involved in this process and disclaims any liability in this regard.

9. Advertising Banners
9.1. Producers subscribed to the Silver Plan or higher have the opportunity to publish one (1) advertising banner within the App to promote their professional activities ("Banner").
9.2. To create a Banner, the Producer must access the designated section of the App and provide the required information (category, URL, image, etc.).
9.3. The Banner will be displayed in the “Home” section of the App according to timing and methods determined by ALS’s proprietary algorithm, which considers factors such as the Banner category and target audience.
9.4. Banners must promote products or services related to the event, entertainment, and audiovisual sectors. It is strictly prohibited to publish Banners containing unlawful, offensive, misleading content or content that infringes upon the rights of third parties.
9.5. Producers can modify or deactivate their Banners at any time.
9.6. Producers are solely responsible for the content of their Banners and must comply with applicable advertising laws and regulations.
9.7. Specific terms and conditions governing the content and publication of Banners are detailed within the App.
9.8. ALS does not conduct prior checks on the Banners published by Producers and disclaims any responsibility for their content.
9.9. Banners will be displayed within the App according to the methods and criteria set by ALS. ALS reserves the right to remove any Banners that do not comply with these T&C at any time.

10. Work Groups
10.1. Hiwo offers Producers who have subscribed to a Gold Plan the ability to create and manage a certain number of work groups, which are lists of selected Technicians to facilitate the creation of work teams for future Productions ("Groups").
10.2. Hiwo automatically generates, based on the Producer's history of collaborations, two predefined Groups for each Producer ("Base Groups"):
(a) “Directors”: includes Technicians who have held positions of responsibility in previous Productions of the Producer created through the App;
(b) “Collaborators”: includes Technicians who have participated in previous Productions of the Producer created through the App, regardless of the role played.
10.3. In addition to the predefined Groups, Producers have the right to create up to 5 (five) custom Groups, freely defining the inclusion criteria and inviting Technicians registered with Hiwo to join ("Pro Groups").
10.4. Technicians automatically included in a Base Group or added to a Pro Group by a Producer will receive an invitation notification and can choose to accept or decline.
10.5. To create a Group, the Producer must specify:
(a) The Group name;
(b) The Production assigned to the Group;
(c) The Technicians to include in the Group.
10.6. Producers can remove Technicians from any of their Groups, both Base and Pro, at any time through the “Groups” section of the App.
10.7. Membership in a Group does not obligate the Technician to participate in future Productions of the Producer, nor does it guarantee their availability. Actual collaborations must be agreed upon individually between the parties.
10.8. Specific terms and conditions for creating, managing, and participating in a Group are detailed within the App.
10.9. Producers are solely responsible for managing and organizing their created Groups, complying with these T&C and applicable laws.
10.10. ALS has no control over the Groups created by Producers and disclaims any responsibility for activities conducted within them.

11. Intellectual Property
11.1. Hiwo is a registered trademark and the exclusive property of ALS. Unauthorized use of the Hiwo trademark or any other trademark, logo or copyrighted material of ALS is strictly prohibited.
11.2. All content on Hiwo, including but not limited to text, graphics, logos, icons, images, audio clips, video, digital downloads and data compilations, is the property of ALS and is protected by Italian and international copyright laws.
11.3. The Professional acknowledges and agrees that all intellectual property rights relating to Hiwo and its content are and will remain the exclusive property of ALS. No provision of these T&C may be construed as granting the Professional any right or license to the intellectual property rights of ALS.
11.4. The Professional undertakes not to reproduce, duplicate, copy, sell, resell or exploit in any way, in whole or in part, Hiwo or its content without the express written consent of ALS.
11.5. ALS reserves the right to take legal action against any unauthorized use or violation of its intellectual property rights, to the maximum extent permitted by law.
11.6. If the Professional believes that any content on Hiwo infringes their intellectual property rights, they are requested to immediately contact ALS using the contact details provided in the App. ALS undertakes to promptly review all reports of alleged infringement and to take appropriate measures, including removal of the content in question, if necessary.

12. Ads and sponsored content
12.1. Hiwo may display advertising or sponsored content to Professionals. Such content will always be clearly identified as "advertising," "sponsored content" or similar wording.
12.2. Professionals acknowledge that ALS is not responsible for the products, services or content advertised by third parties on Hiwo. Any relationship between Professionals and advertisers will be governed exclusively between those parties, without any liability on the part of ALS.

13. Data protection
13.1. ALS respects the privacy of Professionals and is committed to protecting their Personal Data in accordance with the GDPR and Legislative Decree 196/2003 ("Privacy Code"), as amended by Legislative Decree no. 101/2018.
13.2. The processing of Professionals' Personal Data is governed by the Privacy Policy, accessible at the following address: https://www.hiwo.it/privacy.html.
13.3. ALS reserves the right to modify this clause and the Privacy Policy at any time. Any changes will be effective from the moment they are published on Hiwo.

14. Malfunctions and temporary unavailability
14.1. Hiwo is hosted on the infrastructure of ALS (or its suppliers), who will take care of ordinary and extraordinary maintenance, updates, security and performance monitoring.
14.2. ALS undertakes to guarantee the maximum availability of Hiwo. This guarantee will not operate in the event of disruptions caused by:
(a) Force majeure events, understood as events that are unforeseeable and beyond the reasonable control of ALS., including but not limited to natural disasters, wars, riots, embargoes, generalized power outages;
(b) Third-party cyberattacks aimed at compromising the availability, integrity, or confidentiality of the service, such as DDoS attacks, malware infiltration, hacking attempts, and the like;
(c) Extraordinary maintenance, updating or migration of systems, previously communicated by ALS to the Professionals;
(d) Malfunctions or interruptions of third-party services (such as telecommunications operators, electricity suppliers, data centers) necessary for the operation of Hiwo;
(e) Any other cause not directly attributable to ALS.
14.3. In the cases mentioned above, ALS will make every reasonable effort to restore the service as quickly as possible, without assuming any responsibility for any damages or disruptions arising to the Professional from the continuation of the temporary unavailability of Hiwo.
14.4. ALS will regularly back up the data present in Hiwo. In the event of data loss due to service disruptions, ALS will make every reasonable effort to recover it from available backups.
14.5. Should the Professional encounter malfunctions or disruptions of Hiwo, they must promptly report them to ALS through the support channels present in the App. ALS undertakes to intervene for the diagnosis and resolution of the problem.

15. Final provisions
15.1. (Governing Law) These T&C are governed by Italian law.
15.2. (Force majeure) ALS shall not be liable for any failure or delay in performing its obligations arising from unforeseeable events outside its reasonable control, such as technical failures, cyberattacks, natural disasters, etc.
15.3. (External links) Hiwo may contain links to other websites or third-party services. ALS has no control over such sites or services and is not responsible for their content, nor for any damages or losses arising from their use.
15.4. (Assignment of Contract) ALS has the right to assign at any time the rights and obligations arising from these T&C to any affiliated company or to third parties, in the context of mergers, acquisitions or changes of control.
15.5. (Severability) If one or more clauses of these T&C are deemed invalid, unlawful or ineffective, the validity, lawfulness and effectiveness of the remaining clauses will remain unaffected.
15.6. (Jurisdiction) For any dispute arising from or relating to these T&C, including those relating to their validity, interpretation, execution or termination, the Judicial Authority of the Court of Milan shall have exclusive jurisdiction.
15.7. (Communications) All communications relating to these T&C or the use of Hiwo must be sent:
15.7.1. if addressed to ALS, by email to the address privacy@als.it or by registered mail with return receipt to the address of the registered office indicated in the Preamble;
15.7.2. if addressed to Professionals, by e-mail to the address provided during registration or by push notification on the App.
Communications will be considered effective from the moment of receipt of the e-mail or push notification by the recipient, or after 5 working days from the dispatch of the registered letter with return receipt.
